INVITATION FOR OFFERS TO PURCHASE SURPLUS COMMODITIES

1. The United Nations World Food Programme (WFP) in Yemen is considering the sale of the following consignments:

2. Arrangements to inspect the goods can be made through WFP Office

3. Offers shall be submitted by email address to yemen.logisticscontracting@wfp.org  no later than 16:00 hours Sana’a time on Thursday 22nd October 2020.

4. The following Conditions of Sale shall be paramount: 

  • The Buyer shall take title to the goods as and where lies, with all faults and imperfections of every nature, at the time of acceptance of the offer.
  • The Buyer shall rely on his own observations and examinations to ascertain the condition of the cargo. Exact weight, volume, quantity and quality are not guaranteed.
  • All risks, costs and liability shall be on the account of the Buyer from the time of taking title.
  • The Buyer shall guarantee that the consignment will not be used for human consumption and shall hold harmless the Seller from any liability or associated expenses arising out of any claim made against the Seller for a cause of action arising after the passage of title to the Buyer.
  • The Buyer shall bear all risks and charges arising from the import/export/transit of the goods and shall be responsible for all export and customs facilities.
  • The Buyer shall obtain approvals from all relevant authorities to collect, transport and process the above-mentioned commodities.
  • The Buyer shall remove/obliterate WFP/Donor’s marking. The Seller has the right to supervise these operations.
  • The Purchase price shall be received by the Seller in his account before any release of the goods can be authorized.
  • The Buyer shall guarantee that the whole consignment will be removed within 21 working days from acceptance of the offer.
  • The Seller shall have the option of cancelling the sale/purchase agreement if the buyer fails to arrange removal within the agreed time.
  • Offers shall be presented on a Metric Ton Net basis in US dollars.
  • Offers shall remain valid until 31 March 2021
  • The sale/purchase Agreement, and any dispute arising therefrom, shall be governed by general principles of international commercial law, to the exclusion of any single national system of law. Any dispute between the parties concerning the interpretation and the execution of the Contract that is unresolved after conciliation shall, at the request of either party be settled by arbitration in accordance with the Arbitration Rules of the United Nations Commission on International Trade Law (UNCITRAL), as at present in force. Any arbitration award rendered in accordance with the provisions of this article shall be final and binding on the Parties. The place of arbitration shall be Rome (Italy) and the language of the arbitral proceedings shall be English.
  • Nothing in the sale/purchase Agreement or any document entered into in connection with the sale/purchase Agreement shall imply a waiver, express or implied, by WFP, the United Nations, and the Food and Agricultural Organization of any privileges and immunities enjoyed by them pursuant to the 1946 Convention on the Privileges and Immunities of the United Nations, the 1947 Convention on the Privileges and Immunities of Specialized Agencies, customary international law, other relevant international or national agreements, and under domestic law.
